General Terms and Conditions of Taste Match AG

Effective from: May 1, 2025

1. Scope

These General Terms and Conditions (hereinafter “GTC”) govern the business relationship between Taste Match AG (hereinafter “Provider”) and the restaurants using the Provider’s services (hereinafter “Customer”).

2. Services

The Provider shall provide the Customer with the services listed in the offer. The details and scope of the services are set out in the respective offer and order.

3. Prices and Payment Terms

  • 3.1 Prices are quoted in Swiss Francs (CHF) plus applicable VAT.
  • 3.2 Billing is done monthly. Invoices are payable within 30 days from the invoice date without any deduction.
  • 3.3 In the event of payment default, the Provider is entitled to suspend services and charge statutory default interest.

4. Contract Duration and Termination

  • 4.1 The Supporter Package has a minimum term of three months and can be terminated quarterly thereafter.
  • 4.2 The Visibility Package has a minimum term of one month and can be terminated monthly thereafter.
  • 4.3 Termination must be made in writing or by email.
  • 4.4 Contracts are automatically renewed for the respective minimum term unless terminated in due time.

5. Customer Obligations

  • 5.1 The Customer shall provide the Provider with all necessary information and materials (photos, menus, etc.) in a timely manner.
  • 5.2 The Customer undertakes to transmit only truthful and legally permissible content and to possess the necessary rights to such content.
  • 5.3 The Customer undertakes to honor reservations made through the platform and to offer guests a level of service consistent with the restaurant's profile and philosophy.

6. Data Protection

  • 6.1 The Provider undertakes to comply with Swiss data protection laws.
  • 6.2 The Customer grants the Provider permission to process and publish the transmitted data as part of the agreed services.

7. Reservation Management

  • 7.1 The Customer is responsible for the availability of offered reservation times.
  • 7.2 In case of cancellations by end users, the cancellation policies stored by the Customer in the platform apply.
  • 7.3 The Provider assumes no liability for no-shows or short-notice cancellations by end users.

8. Technical Availability

  • 8.1 The Provider strives for high system availability but does not guarantee a minimum availability.
  • 8.2 Maintenance work will be carried out outside peak business hours whenever possible.
  • 8.3 Temporary availability restrictions due to maintenance, technical issues, or force majeure do not entitle to compensation or reduction of agreed fees.

9. Liability

  • 9.1 The Provider is liable for damages only in cases of intent or gross negligence. Liability for slight negligence is excluded.
  • 9.2 The Provider's liability is limited to the annual fee paid by the Customer.
  • 9.3 The Provider assumes no liability for the accuracy of information provided by the Customer.

10. Force Majeure

  • 10.1 Neither party shall be liable for delays or failure to fulfill obligations due to force majeure.
  • 10.2 Force majeure includes, in particular: natural disasters, pandemics, strikes, official measures, power outages, and similar unforeseeable events.
  • 10.3 If force majeure lasts longer than two months, both parties are entitled to extraordinary termination of the contract.

11. Changes to the GTC

The Provider reserves the right to amend these GTC. Changes will be communicated to the Customer at least 30 days before they take effect. If the Customer does not object within 14 days of receiving the notification, the new GTC are deemed accepted.

12. Jurisdiction and Applicable Law

  • 12.1 Swiss law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
  • 12.2 Place of jurisdiction for all disputes arising from this contract is Bern, Switzerland.

13. Severability Clause

If any provision of these GTC is invalid or unenforceable, the validity of the remaining provisions shall not be affected.
